General Terms and Condition
1. Application areas
Any supply and related services shall be governed by these General Terms and Conditions of GRC Parfum Spa Società Benefit (hereinafter also referred to as “GRC”).
2. Conclusion of the contract
Any contract (hereinafter also referred to as “Contract”) between GRC and the buyer (hereinafter also referred to as “Buyer”) shall be concluded upon GRC’s written acceptance of the Buyer’s order.
3. Product quality
Unless otherwise agreed, the quality of the goods (hereinafter also referred to as “Goods”) is solely determined by GRC’s Product Specifications (hereinafter also referred to as “Specifications”)
4. Contract prices
If between the date of conclusion of the Contract and the delivery of the Goods the prices of the Goods or the GRC payment conditions are changed for reasons not attributable to GRC, GRC shall be entitled to apply the price or payment conditions applicable at the date of delivery. In the event of a price increase, the Buyer shall have the right to withdraw from the Contract by informing GRC within 14 days from notification of the price increase.
5. Transport damages
The Buyer shall notice to the transport company any claim (hereinafter also referred to as “Claim”) relating to transport damages within the specific deadline provided for in the transport contract; within the same deadline, the Buyer shall also forward a copy of the Claim to GRC. In lack of compliance with abovementioned deadlines, the Claim won’t be considered as validly submitted and the Buyer will not be able to make any further Claim in relation to transport damages suffered, if any.
6. Complaints
6.1
The Buyer within 5 (five) working days from the receipt of the Goods shall carry out analysis in order to ascertain the compliance of the Goods with the Specifications and/or samples. If any defects or deviations are found as a result of these analysis, the Buyer within 8 (eight) days from the discovery of the defect or deviation shall file to GRC a written complaint (hereinafter also referred to as “Complaint”) by e-mail to the following address: grcparfum@legalmail.it
6.2
All Buyer’s Complaints concerning alleged undisclosed defects, damages or quantity of goods shall be filed to GRC by e-mail to the address grcparfum@legalmail.it within 8 (eight) days from receipt of the Goods.
6.3
If the Goods results actually defective and the Buyer has promptly notified GRC his Complaint, GRC shall alternatively:
- eliminate the defects;
- replace the defective Goods
- return the paid price to the Buyer
6.4
Failure to comply with the above Complaint deadlines shall cause the forfeiture of the Buyer’s right to claim any damages from GRC.
6.5
If defects of the Goods will result attributable to GRC, GRC’s liability shall be limited to the amount paid by the Buyer as price for the defective Goods.
7. Governing law and jurisdiction
Any disputes that may arise between the parties concerning the interpretation or performance of the Contract shall be subject to the exclusive jurisdiction of the Courts of Milan; the Contract shall be governed by Italian law.
